East Kentucky Regional ATV Club
By-Laws

Article 1. Name and Location

Section 1. The name of this club shall be the East Kentucky Regional ATV Club. Its primary location will be in Perry County in the State of Kentucky.
Section 2. The purposes of this club are:
To form a club of families and individuals that has interest in the sport of ATV’s.
To encourage people that this can be a family sport.
To promote the safe use of ATV’s to adult’s and children through education, training, etc.
To improve the perception the public has on ATV riders.
To create a better landowner/ land user relationship.
To encourage sportsmen to obey the state laws and regulations.
To promote new trail development, claim and repair existing trails, and engage with other local club trails.
To have fund raisers for charities, club rides, clean up days, etc.
To create a map of our trails.
To own or lease property for club uses. 

Article 2. Membership

Section 1. Membership shall consist of the following without regard to sex, race, or religious beliefs.
A). Individual Membership: Individual membership is for individuals 18 years of age and over.
B). Family Membership: Family Membership consists of the primary member, spouse and any children living in the same household.
C). Business membership: With an agreement from a supporting business member, they will be awarded one membership at no charge.
Section 2. Membership is open to all ATV owners and enthusiasts who file a membership form and return it to a club officer, agree on the club purpose, and pay one years dues.
Section 3. A member may resign from the club at any time upon written notice to the treasurer.
Section 4. Membership may be terminated by the majority vote by the board of directors in the event of non-payment of dues or by other actions not consistent with the by laws of the club. Termination of any member shall not release the said member from the obligation to pay their dues or any other amount owed to the period of their membership.
Section 5. There is a zero tolerance for any member using illegal drugs or drinking of alcoholic beverages during an active ride. This will be termination of the membership.

Article 3. Dues

Section 1. The amount of dues for this club shall be $20.00 for individual membership and $30.00 for a family membership.
Section 2. Dues are due the January Meeting of each year. If you join the club after the January meeting you are still responsible for the full amount of dues for the remainder of the year.
Section 3. All membership dues are non-refundable.

Article 4. Fiscal Year

Section 1. The fiscal year for this club will start January 1 and end December 31.

Article 5. Officers

Section 1. The officers of this club shall consist of: President, Vice President, Treasurer and two board of directors.
Section 2. The President, Chuck Russell, shall be the Chief executive and administrative officer of the club. He shall preside at all club meetings. This is not an elected position.
Section 3. The Vice President, Earl Gordon, shall in absence or disability of the President have all powers of the President. He shall have other duties that the President may prescribe. This is not an elected position.
Section 4. The Treasurer shall keep all accounts and have charge of the funds of this club. A treasurer’s report shall be prepared for each meeting and an annual audit shall be performed each March. He or she shall be in charge or memberships. This is an elected position.
Section 5. The two boards of director’s positions are elected positions by all active members of the East Kentucky Regional ATV club.
Section 6. All items up for vote are finalized by the President and Vice President of the club. This includes items of safety and all fund raisers being held by the club.

Article 6. Conflict of Interest

Section 1. Conflict of Interest-The Officers, Board of Directors, or members shall not enter into any contract or transaction with (1) one or more of its directors, or (2) an organization in which an officer, director, or members is an officer, or legal representative, or in some other way has a material financial or professional interest unless;
A). That interest is disclosed or known to the officers, board of directors and members.
B). The officers, board and members approve, authorize, or agree to the action in good faith.
C). The approval is by a majority of members (not counting the interested party) at a regularly held meeting where a quorum is present (not counting the interested party).
D). The interested party may be present for discussion to answer questions, but may not advocate for the action to be taken, and must leave the room during deliberation and voting.  The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.
E). All officers, Board of Director Members, appointed committee members and authorized representatives shall disclose any interest or affiliation they may have with any group or individual with which the corporation has entered, or may enter, into contracts, agreements or any other business transaction, and shall refrain from voting on, or influencing the consideration of, such matters. 

Article 7. Meetings

Section 1.  Meetings shall be held at the State Fire and Rescue building in Gorman Hollow in Hazard Kentucky. All meetings will reside here unless it is a special event going on at an off area site. This would be agreed upon before the date of the meeting.
Section 2. The annual meeting shall be held each January. The major business at that meeting shall be the election of Board of Directors.
Section 3. Nominations for Officers shall be done each January. Nominated officers must meet membership regulations.
Section 4. To vote you must be a “qualified member”. (See section 5)
Section 5. A “qualified member” is an active member who is at least 18 years old and dues are paid in full.
Section 6. These by-laws may be amended by majority vote at any meeting.

Article 8. Dissolution

Section 1. In the event this club should decide to disband, all assets shall be given to a non-profit organization decided upon by the Board of Directors.
